1. What Bidit is

Bidit™ (the "Platform") is operated by Manera Technologies Inc. ("Manera"). Bidit is a matching tool that connects consumers with independent businesses that make offers to provide services. Manera does NOT provide any of the underlying services (legal, financial, medical, transport, trade, or any other).

Manera is not a party to any contract formed between a consumer and a vendor through the Platform.

2. No advice

Manera does not give professional advice of any kind. This includes but is not limited to legal, financial, tax, investment, medical, insurance, and real-estate advice. Any content displayed on the Platform (including AI-generated summaries, rankings, or recommendations) is informational only and is NOT advice from Manera.

Advice comes only from the licensed professional whom a consumer chooses to engage, and only after that engagement begins.

3. Licensed professionals are responsible

Each vendor warrants that they hold valid licenses and qualifications required in the consumer's jurisdiction to provide the service they bid on. Vendors are solely responsible for the quality, legality, timing, and outcomes of their services.

Each vendor must bid ONLY in regions where they are licensed by the relevant professional body (Law Society, RBQ, OACIQ, FSRA, AMF, state bar, etc.). Bidding outside your licensed jurisdiction may constitute unauthorized practice of your profession and result in (a) revocation of your professional license by your regulator, and (b) immediate suspension or termination of your Bidit account. For petals where licenses are jurisdiction-specific (legal, contractors, accounting, health, finance, notary, insurance, homes, auto, education), the Platform blocks bids outside your declared regions as a courtesy — but the legal responsibility for compliance with your licensing rules rests entirely with you.

Where an official registry exists, Manera may check a vendor's licence against it; offers are labelled "Licence verified" or "Licence not yet verified by Bidit". Manera does not verify every vendor before it bids and does not certify or vouch for any vendor. Consumers are encouraged to verify licences independently.

4. How bidding works

Consumers may post a service request for free. Bidit is free for consumers, forever.

Vendors matched to the request, and local businesses Bidit invites to it, may submit private offers. A vendor sees the amount of its own offer only, never a competitor's amount, although it may see that other offers exist. Vendor identities are hidden from the consumer until the consumer selects an offer. Consumers see all offers and choose freely. Only after the consumer selects an offer is the consumer's contact information shared with that specific vendor. Requests stay open for offers for 7 days, or 2 days if marked urgent.

Vendors pay Manera under the published fee schedule (see section 9): in most categories, only the vendor whose offer the consumer selects pays a flat fee for that match, disclosed before it bids; in regulated professions, vendors pay a flat monthly subscription instead and never a per-job fee. Vendors whose offers are not selected pay nothing per job. No fee is EVER passed through to the consumer as a hidden charge.

5. No warranty and limitation of liability

The Platform is provided "as is" without warranties of any kind. Manera does not guarantee that a match will result, that a bid will meet the consumer's needs, or that a vendor will perform as expected.

To the maximum extent permitted by law, Manera's aggregate liability to any user for any claim arising out of or related to the Platform shall not exceed the greater of (a) the amount that user paid Manera in the preceding twelve months, or (b) CAD $100.

6. Vendor obligations

By onboarding as a vendor, you warrant that: (i) your licenses are valid and unexpired in every region you list; (ii) you will bid only on requests you are legally and professionally qualified to serve; (iii) you will not use the Platform in violation of anti-steering, consumer protection, or professional conduct rules applicable to you.

You agree to indemnify Manera against any claim arising from your services, misrepresentations, or breaches of license obligations.

7. Jurisdiction

These terms are governed by the laws of Quebec, Canada, and (for matters falling under Canadian federal jurisdiction) the laws of Canada. Disputes shall be submitted to the competent courts of the district of Montreal, unless local mandatory consumer-protection law requires otherwise.

8. Changes

We may update these terms; material changes will be communicated and dated. Continued use after changes take effect constitutes acceptance.

9. Vendor fees — two models (fee schedule v2.0)

Joining Bidit is free. Consumers never pay anything. Bidit's fees follow the published fee schedule v2.0 and the Vendor Agreement v3.2, under one of two models depending on the category.

Open categories — free to bid, a flat fee only if you win. When a consumer accepts your offer (a « match »), you pay one flat fee for that job, set by the schedule from the accepted amount or a stated characteristic of the job (for example cabin class), shown to you before you submit and frozen at the match. Losing offers cost nothing. If the request does not determine the tier, the lowest tier of the category applies.

Regulated professions — flat monthly subscription, no fee per job, ever. In legal, notarial, insurance, mortgage and loan brokerage, CPA accounting, health-clinic and real-estate brokerage categories, only a vendor with an active subscription may make offers. The first 30 days are free; billing starts only when you start the subscription, monthly in advance, and a cancellation takes effect at the end of the paid period. The subscription is an advertising and access fee — never a percentage of, or a share in, the professional's fees. Later changes to the real-world transaction between you and the consumer do not change any fee.

Fees accrue and are invoiced once per calendar month, itemized per match with GST/QST shown, and auto-charged to the payment method on file under your signed mandate. Retracting a bid before acceptance is free (limit 3/month). A matched deal that does not happen can be flagged: before your monthly invoice, the fee is removed; within 14 days after invoicing, it becomes a credit on your next invoice. After a 15-day grace period on a failed charge, late interest of 2% per month applies and bidding is suspended until the balance is settled.

Schedule v2.0 applies from October 5, 2026 to vendors who accept Vendor Agreement v3.2. A vendor who accepted v3.1 keeps its terms until 30 days after notice. Offers submitted before the schedule was published for their category are not charged.
