1. What Bidit is

Bidit™ (the "Platform") is operated by Manera Technologies Inc. ("Manera"). Bidit is a matching tool that connects consumers with independent licensed vendors who bid to provide services. Manera does NOT provide any of the underlying services (legal, financial, medical, transport, trade, or any other).

Manera is not a party to any contract formed between a consumer and a vendor through the Platform.

2. No advice

Manera does not give professional advice of any kind. This includes but is not limited to legal, financial, tax, investment, medical, insurance, and real-estate advice. Any content displayed on the Platform (including AI-generated summaries, rankings, or recommendations) is informational only and is NOT advice from Manera.

Advice comes only from the licensed professional whom a consumer chooses to engage, and only after that engagement begins.

3. Licensed professionals are responsible

Each vendor warrants that they hold valid licenses and qualifications required in the consumer's jurisdiction to provide the service they bid on. Vendors are solely responsible for the quality, legality, timing, and outcomes of their services.

Each vendor must bid ONLY in regions where they are licensed by the relevant professional body (Law Society, RBQ, OACIQ, FSRA, AMF, state bar, etc.). Bidding outside your licensed jurisdiction may constitute unauthorized practice of your profession and result in (a) revocation of your professional license by your regulator, and (b) immediate suspension or termination of your Bidit account. For petals where licenses are jurisdiction-specific (legal, contractors, accounting, health, finance, notary, insurance, homes, auto, education), the Platform blocks bids outside your declared regions as a courtesy — but the legal responsibility for compliance with your licensing rules rests entirely with you.

Manera performs reasonable license attestation checks but does not audit, certify, or vouch for any vendor. Consumers are encouraged to verify licenses independently.

4. How bidding works

Consumers may post a service request for free. Bidit is free for consumers, forever.

Licensed vendors matched to the request submit blind bids: they see only their own bid, never competitors'. Consumers see all bids and choose freely. Only after the consumer selects a winner is the consumer's contact information shared with that specific vendor.

Vendors pay a disclosed platform access fee. This fee is paid by the vendor to Manera and is NEVER passed through to the consumer as a hidden charge.

5. No warranty and limitation of liability

The Platform is provided "as is" without warranties of any kind. Manera does not guarantee that a match will result, that a bid will meet the consumer's needs, or that a vendor will perform as expected.

To the maximum extent permitted by law, Manera's aggregate liability to any user for any claim arising out of or related to the Platform shall not exceed the greater of (a) the amount that user paid Manera in the preceding twelve months, or (b) CAD $100.

6. Vendor obligations

By onboarding as a vendor, you warrant that: (i) your licenses are valid and unexpired in every region you list; (ii) you will bid only on requests you are legally and professionally qualified to serve; (iii) you will not use the Platform in violation of anti-steering, consumer protection, or professional conduct rules applicable to you.

You agree to indemnify Manera against any claim arising from your services, misrepresentations, or breaches of license obligations.

7. Jurisdiction

These terms are governed by the laws of Quebec, Canada, and (for matters falling under Canadian federal jurisdiction) the laws of Canada. Disputes shall be submitted to the competent courts of the district of Montreal, unless local mandatory consumer-protection law requires otherwise.

8. Changes

We may update these terms; material changes will be communicated and dated. Continued use after changes take effect constitutes acceptance.

9. Founding fee — your 90 days + founding-member reimbursement

Vendors pay a one-time Founding Positioning Fee at signup. No recurring (monthly) charge begins until your industry officially activates AND you give explicit opt-in consent at that time — billing never starts automatically, and no opt-in means no charge.

Your 90 days. Within 90 days of payment you may request a full self-serve refund of your Founding Positioning Fee — or switch to Freeze Mode, which pauses your account at no cost while preserving your profile and position — at any time, via /partner/refund/request. After 90 days your founding position is confirmed and the fee is non-refundable. A self-serve refund also requires that your industry has not yet activated to paid billing.

Founding-member reimbursement (discretionary). As a thank-you to our earliest supporters, Bidit may — at its sole discretion — reimburse the Founding Positioning Fee in full to a limited number of the first founding members within a given industry, country, and region, by order of payment, reviewed after 90 days, for members who remain active. This is a discretionary program, NOT a guarantee or entitlement: the number reimbursed, the eligibility criteria, and the timing are determined by Bidit and may vary by market or be zero. Every reimbursement decision is recorded in an internal audit log for fairness and transparency. No marketing statement about this program creates any obligation to reimburse any particular member.

Bidit charges no per-lead fees and no commissions on regulated industries (insurance, legal, notarial, accounting, health, real estate, finance), consistent with AMF, OACIQ, Barreau du Québec, CNQ, and CPA Québec rules. If a per-lead fee is ever introduced for an industry that permits it, you receive 60 days advance notice and your explicit opt-in is required.
